Turkey has been a party to the United Nations Convention on Contracts for the International Sale of Goods (CISG) since 2011, and unless the parties agree otherwise, the Convention applies to international sales of goods. Solak Law Office supports importers and exporters from the contract stage through to disputes.

Areas of work

  • International sale, supply and distribution agreements

  • Incoterms, letters of credit and payment terms

  • Disputes over defective goods, short delivery and payment

  • Recognition and enforcement of foreign court judgments and arbitral awards in Turkey

Goodwill indemnity in exclusive distribution

The goodwill indemnity claim under Article 122 of the Turkish Commercial Code also applies to exclusive distribution relationships, unless this would be inequitable. The claim is based on the continued benefit, after termination, from the customer base brought in by the distributor.
